Terms of Service

1. Acceptance of Terms

Welcome to SpeakPro Canada. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and SpeakPro Canada ("Company," "we," "us," or "our") regarding your use of our public speaking training services and website.

By accessing our website, engaging our services, or entering into any agreement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

3. Services Offered

SpeakPro Canada provides professional public speaking and communication training services, including but not limited to:

  • Executive coaching for public speaking and presentation skills
  • Corporate team training programs
  • Virtual presentation mastery workshops
  • Specialized communication skills development
  • Consultation and assessment services
  • Educational content and resources

All services are delivered by qualified professionals with appropriate credentials and experience in communication training.

4. Client Obligations

4.1 Eligibility

To engage our services, you must be at least 18 years of age and have the legal capacity to enter into contracts. If you are representing an organization, you warrant that you have the authority to bind that organization to these Terms.

4.2 Participation Requirements

Clients agree to:

  • Attend scheduled sessions punctually and prepared
  • Actively participate in training exercises and activities
  • Complete assigned practice work and assignments
  • Provide honest feedback and communicate any concerns promptly
  • Respect the confidentiality of other participants in group settings
  • Maintain professional conduct throughout all interactions

4.3 Information Accuracy

You agree to provide accurate, current, and complete information during registration and throughout our engagement. You must promptly update any changes to your contact information or circumstances that may affect the training.

5. Payment Terms

5.1 Fees and Pricing

All fees for services are as quoted in your service agreement or as displayed on our website. Prices are subject to change with 30 days' notice for future bookings.

5.2 Payment Schedule

Payment terms vary by service type:

  • Individual Coaching: Payment due before the first session or as specified in the coaching agreement
  • Corporate Training: 50% deposit required upon booking, balance due 30 days before training commencement
  • Workshops: Full payment required upon registration

5.3 Late Payments

Late payments may result in suspension of services and may incur additional administrative fees. Accounts overdue by more than 30 days may be referred to collection agencies.

5.4 Taxes

All prices are exclusive of applicable taxes (HST, GST, PST) unless otherwise stated. Clients are responsible for all applicable taxes.

6. Cancellation and Refund Policy

6.1 Client Cancellations

  • More than 14 days notice: Full refund minus 10% administrative fee
  • 7-14 days notice: 50% refund
  • Less than 7 days notice: No refund
  • No-show: No refund and full payment due

6.2 Company Cancellations

If we must cancel a service due to circumstances beyond our control, we will provide a full refund or reschedule at no additional cost.

6.3 Rescheduling

Clients may reschedule sessions with at least 48 hours' notice without penalty. Less than 48 hours' notice may result in forfeiture of the session.

7. Intellectual Property

7.1 Company Materials

All training materials, methodologies, frameworks, assessments, and content provided by SpeakPro Canada are our intellectual property and are protected by copyright and other intellectual property laws. Clients receive a limited, non-exclusive license to use these materials solely for their personal or internal business development.

7.2 Restrictions

Clients may not:

  • Reproduce, distribute, or publicly display our materials without written permission
  • Use our methodologies to provide competing training services
  • Reverse engineer or attempt to derive our proprietary techniques
  • Remove copyright notices or proprietary markings

7.3 Client Content

Any presentations, exercises, or materials you create during training remain your property. However, you grant us permission to use anonymized examples for future training purposes.

8. Confidentiality

8.1 Mutual Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of our engagement. This includes business strategies, personal development goals, and any sensitive information disclosed during training.

8.2 Group Training Confidentiality

In group settings, all participants agree to respect the confidentiality of discussions, exercises, and personal information shared by other attendees.

9. Limitation of Liability

9.1 Service Limitations

Our training services are designed to improve communication skills and confidence. While we use proven methodologies and best practices, we cannot guarantee specific outcomes or results. Individual progress depends on various factors including effort, practice, and personal circumstances.

9.2 Liability Cap

To the maximum extent permitted by law, our total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

9.3 Excluded Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, business interruption, or personal injury.

10. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemic, government regulations, or technical failures.

11. Professional Standards

11.1 Ethical Guidelines

SpeakPro Canada adheres to the highest professional and ethical standards in all our training activities. Our trainers maintain appropriate professional boundaries and conduct themselves with integrity.

11.2 Not Professional Therapy

Our services focus on skill development and are not intended as psychological therapy or medical treatment. Clients with anxiety disorders or other conditions should consult appropriate healthcare professionals.

12. Website Terms

12.1 Acceptable Use

When using our website, you agree not to:

  • Violate any applicable laws or regulations
  • Transmit harmful or malicious code
  • Attempt to gain unauthorized access to our systems
  • Use our website for spam or unauthorized commercial purposes
  • Interfere with other users' access to the website

12.2 Third-Party Links

Our website may contain links to third-party sites. We are not responsible for the content, privacy practices, or terms of service of external websites.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

13.2 Dispute Process

Any disputes shall first be addressed through good faith negotiation. If resolution cannot be reached within 30 days, disputes may be submitted to binding arbitration in Toronto, Ontario, under the rules of the ADR Institute of Canada.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to active clients via email at least 30 days before taking effect. Continued use of our services after changes take effect constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with any specific service agreements, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements relating to the subject matter.
